Negative Covenants

Negative covenants are actions a borrower agrees not to take without lender consent, such as taking on additional debt, granting liens, selling key assets or paying dividends above set limits. They protect lenders by limiting changes to the borrower’s risk profile. In some cases, breaches of negative covenants can result in an immediate Event of Default without the opportunity to cure.
